This book examines recent trends towards mergers and acquisitions in Japan, Greater China and Southeast Asia from 1990 to 2004. Comparisons are made among regions and between countries of particular regions. The economic profiles and investment climates of key countries are discussed and many issues are examined from the perspectives of US-based and UK-based investors because they play significant roles in Mergers and Acquisitions activities in all regions of the world. The practices and management strategies in Asia are also compared with those observed in the United States and the United Kingdom where appropriate.

Mergers and acquisitions have gained a significant position in the corporate landscape in India. While this is so, the law relating to this field is still at its nascent stage, facing several emerging challenges. This collection of papers, selected pursuant to the NLIU Trilegal Summit on Mergers and Acquisitions, 2018, highlights some of these challenges, bringing to the fore the inter-relationship between mergers and acquisitions and other areas such as anti-trust, taxation, foreign direct investment, and insolvency. This book primarily deals with corporate restructuring through mergers and acquisitions (M&As). It critically examines all functions that must be performed in completing an M&A transaction. Domestic and crossborder M&A’s are very similar in many respects even though differences between them also exist. The book includes discussions of international finance and multinational financial management–the topics that arise in cross-border M&A transactions. Given the increasing importance of China as the second largest economy in the world and Chinese companies’ growing merger and acquisition (M&A) activities globally, we devote the last two chapters of the book to China’s outward foreign direct investment and cross-border M&A activities. Moreover, the second volume includes the case studies regarding Chinese foreign direct investment both in Greenfield and acquisition forms give additional insights into challenging tasks of due diligence and post-merger cultural integration that foreign investors face. The M&A literature is a fragmented field of inquiry. This book brings together important, practical insights from this vast literature in a short, but cohesive form that has high managerial relevance.

We develop and test the hypothesis that foreign direct investment promotes corporate governance spillovers in the host country. Using firm-level data on cross-border mergers and acquisitions (M&A) and corporate governance in 22 countries, we find that cross-border M&As are associated with subsequent improvements in the governance, valuation, and productivity of the target firms’ local rivals. This positive spillover effect is stronger when the acquirer is from a country with stronger shareholder protection and if the target’s industry is more competitive. We conclude that the international market for corporate control promotes the adoption of better corporate governance practices around the world.
